DoorDash for Creators Agreement

This shall constitute the agreement (the “Agreement”), entered into as of the Effective Date, between you (“Talent”) and DoorDash, Inc. (“DoorDash,” “we,” “us,” and “our”), pursuant to which Talent agrees to provide services as an influencer on behalf of DoorDash as set forth in this Agreement and pursuant to the DoorDash for Creators program (the “Program”). The Agreement consists of all of the terms set forth below. This Agreement supersedes and replaces in full any other agreement between Talent and DoorDash related to the Program.
1. DEAL TERMS
Term. The “Term” of this Agreement begins on the Effective Date and will continue until either you or DoorDash terminate the Agreement as set forth in Section 2.g. “Effective Date” means the later of: (i) the date on which you agree to this Agreement through any online sign-up flow or by any other means; or (ii) if applicable, the date on which you are accepted into the Program.
Program Eligibility. To participate in the Program, Talent must agree to this Agreement, meet and continue to meet all requirements set forth herein, and, if applicable, apply for and be accepted into the Program at DoorDash’s sole discretion.
Campaign. DoorDash will be engaging Talent to provide new video content featuring restaurants and menu items available on the DoorDash platform. If such video content is approved, DoorDash will subsequently upload the content onto its platform for anyone to view (the “Campaign”).
Territory. United States (the “Territory”).
Media. DoorDash online platform (i.e., DoorDash app and website) and any and all media now known or hereinafter developed (“Media”).
Services and Fee. Talent will perform the following services (collectively, “Services”) in accordance with the terms of this Agreement: Talent shall supply DoorDash with videos beginning on the Effective Date that have been created by Talent for the purpose of DoorDash uploading the video content onto the DoorDash platform (each video, a “Post”). Each Post must: (i) feature restaurants available on the DoorDash platform in select markets of our choosing; (ii) comply with the DoorDash Content Guidelines, which may be updated from time to time without notice to you; (iii) be no longer than 60 seconds in length; (iv) be appropriate for viewing by all audiences; (v) be original work from Talent; (vi) adhere to any additional requirements provided by DoorDash to Talent (e.g., on the DoorDash for Creators website), if applicable; (vii) be approved by DoorDash; and (viii) not mention or reference any restaurant with whom Talent has a “material connection” as described in the FTC Guidance (as defined below). DoorDash ultimately reserves the right to use or not use any Post(s) provided by Talent under this Agreement, whether or not DoorDash has approved such Post(s). DoorDash shall pay to Talent a fee for creating Posts that meet all requirements herein (the “Fee”). The details of the Fee (including the amount of the Fee and, if applicable, the number of Posts you are required to submit and when you are required to submit them to earn the Fee) will be posted on the DoorDash for Creators website; for the avoidance of doubt, DoorDash reserves the right to amend the Fee structure from time to time in its sole discretion. To receive the Fee, Talent may be required to register with a third-party service provider designated by DoorDash; Talent agrees to complete any required registration process, follow all instructions provided by DoorDash or the service provider, and submit all requested information accurately and promptly. Talent acknowledges that any use of such third-party service is subject solely to the terms and conditions of that provider and is not governed by DoorDash or any DoorDash terms or policies.
DoorDash-Produced Materials. During the Term, DoorDash shall have the right to create advertising, promotional, marketing, and public relations materials related to the Campaign, including materials that incorporate, reference, link to, and/or promote the Post(s) (or any element thereof), Persona (as defined below), and or quotes from Talent (collectively, “DoorDash-Produced Materials”). During the Term, and throughout the Territory, DoorDash shall have the right to Exploit (as defined below) the Post(s) and the DoorDash-Produced Materials in any and all media now known or hereinafter developed. Additional usage rights are set forth in Section 2.
Union. The Parties acknowledge and agree that DoorDash is not a signatory to any union or guild agreement and that none of Talent’s Services will be performed, and no DoorDash-Produced Materials will be created, within the jurisdiction of or pursuant to any union or guild agreement (including, without limitation, SAG-AFTRA).
2. GENERAL TERMS AND CONDITIONS
Services. Talent shall perform all Services in a professional manner in accordance with the highest industry standards and in a manner consistent with this Agreement and, to the extent that Talent publishes or circulates any content containing DoorDash’s name, logos, trademarks or other identifiers, the requirements set forth in Section 3 (the “Social Media Content Guidelines”). Talent shall stay on message with any key approved messages provided by DoorDash. Talent shall comply with all applicable laws, regulations, and guidance (collectively, “Laws”), including, without limitation, the Federal Trade Commission (“FTC”) Guides Concerning the Use of Endorsements and Testimonial in Advertising (as may be updated) (the “FTC Guides”), the FTC’s Endorsement Guides: What People are Asking (the “Endorsement Guides” and, together with the FTC Guides, “FTC Guidance”), and the terms of use and policies for each applicable social media platform (including, without limitation, each platform’s requirements regarding posting branded or sponsored content on their platform) (the “Social Channel Terms”). During the Term, Talent shall not say anything or engage in any conduct that disparages, denigrates, portrays in an unfavorable light, or brings DoorDash or DoorDash’s products into public disrepute, contempt, or scandal (a “Morals Violation”).
Talent Deliverables; DoorDash-Supplied Elements. Talent agrees that the results and proceeds of Talent’s Services hereunder (including, without limitation, the Post(s)) (collectively, the “Talent Deliverables”) shall be work made for hire or, if not capable of being work made for hire, Talent assigns all right, title, and interest therein to DoorDash. If DoorDash supplies any content or elements (collectively, “DoorDash-Supplied Elements”) to Talent for incorporation in the Talent Deliverables, Talent will use the DoorDash-Supplied Elements only in accordance with DoorDash’s instructions. Talent will ensure that the Talent Deliverables and any other posts/content that Talent may publish related to DoorDash (which Talent will not publish without DoorDash’s prior written approval) comply with the terms of this Agreement (including the Social Media Content Guidelines) and any other DoorDash policies that are provided to Talent by DoorDash. In the event Talent publishes any content that fails to comply with this Agreement (including but not limited to the publication of any content that has not been approved by DoorDash or that does not comply with DoorDash’s instructions), any such content shall be deemed an incomplete and non-satisfactory performance of that service for which DoorDash, in addition to any other rights and remedies that it may have in law or equity, may withhold any or any unpaid portion(s) of the Fee.
Usage. DoorDash shall have all right, title, and interest in and to the DoorDash-Produced Materials and DoorDash-Supplied Elements. Talent grants to DoorDash the right, but not the obligation, to reproduce, distribute, publicly perform, publicly distribute, create derivative works based upon, and otherwise exploit (collectively, “Exploit” or “Exploitation”) the following in the Media, throughout the Territory in perpetuity and in accordance with the terms of this Agreement: (i) the Talent Deliverables, and (ii) Talent’s name, picture, image, likeness, social media handle(s), social media avatars, signature, voice, profile, and biographical information (collectively, “Persona”) as part of the DoorDash-Produced Materials and the Talent Deliverables. Talent acknowledges and agrees that DoorDash cannot control, and thus shall not be responsible for, any Exploitation of the DoorDash-Produced Materials, the Talent Deliverables, and/or Persona by users of social media platforms (regardless of whether such users are utilizing functionality, tools, or features made available by the social media channels or exploiting such assets by other methods); as such, Talent waives any claim against DoorDash arising in connection with such user Exploitation. In addition, during the Term, DoorDash shall be permitted to post, re-post, link to, boost, use as paid media, and otherwise promote the Talent Deliverables, and tag Talent in any post published by DoorDash on any webpages or social media platforms controlled by DoorDash. Upon DoorDash’s request, Talent shall promptly provide DoorDash with all performance and analytics data regarding the Post(s). Upon expiration of the Term, DoorDash shall not be under any obligation to remove the DoorDash-Produced Materials or the Talent Deliverables from the “historical feed” of social media platforms, provided DoorDash does not, after the Term, repost or promote the DoorDash-Produced Materials or Talent Deliverables. In addition, after the Term, DoorDash may use the Talent Deliverables and DoorDash-Produced Materials for internal purposes, archival purposes, for award show purposes, and as part of case studies about DoorDash’s advertising campaigns.
Compensation. In full consideration to Talent for entering into and performing this Agreement, and provided that Talent fully and completely performs all services and obligations hereunder, DoorDash agrees to pay Talent the Fee in accordance with the terms of this Agreement. Talent acknowledges and agrees that the Fee shall be full and complete compensation for the Services and Talent Deliverables, and DoorDash shall not be liable for any broker’s and/or agent’s fees or commissions, taxes, or payments to third parties payable by Talent in connection with this Agreement. Each party shall bear its own costs and expenses, without reimbursement from any other party to this Agreement, in connection with this Agreement. Payment of the Fee will be subject to all deductions and withholdings required by applicable Laws. Talent will provide all documentation as requested by DoorDash in order to comply with federal, state, local, or other applicable tax reporting requirements.
Representations and Warranties. Talent represents and warrants that: (i) Talent is the person identified in any online sign-up flow in connection with this Agreement and is the owner of any email address and social media handle(s) listed in such sign-up flow; (ii) Talent has the right to enter into and perform this Agreement and has no conflicting commitments or obligations that would interfere with Talent’s ability to perform the Services and grant the rights herein granted; (iii) Talent is at least 18 years old and has a valid Social Security Number and/or Tax ID; (iv) neither the Services, the Talent Deliverables, nor any use of the Talent Deliverables nor Persona as set forth herein will infringe or violate the rights of any third party, any applicable Laws, or any Social Channel Terms; (v) any statements made by Talent will reflect Talent’s honest opinion, beliefs, or experience (including, without limitation, about DoorDash and its services); (vi) Talent will comply with FTC Guidance and the Social Media Content Guidelines; (vii) Talent shall obtain all necessary releases, licenses, and permissions that may be required to Exploit the Talent Deliverables (and to enable DoorDash to Exploit the Talent Deliverables) in accordance with the terms hereof without violating or infringing upon the rights of any party or causing DoorDash to incur any additional costs; (viii) without securing DoorDash’s written permission in advance, Talent shall not include in any materials that Talent provides to DoorDash any materials or elements created in whole or in part by generative artificial intelligence (including, without limitation, ChatGPT, Midjourney or any analogous or similar tool, software, or technology); (ix) Talent has a valid and active DoorDash account associated with their email address and will maintain such account throughout the Term; and (x) Talent has not acquired the number of social media followers Talent has as of the Effective Date, nor shall Talent acquire any social media followers during the Term, by means of any automated program or similar technique/method or fraudulent behavior of any kind, and any representation Talent has made to DoorDash with respect to Talent’s social media followers is truthful and accurate to the best of their knowledge.
Indemnity. Talent shall defend, indemnify, and hold harmless DoorDash from and against any and all losses, claims, damages, expenses, or liabilities of any kind, including, without limitation, reasonable attorneys’ fees (collectively, “Losses”) in connection with third-party claims arising from or relating to any actual or claimed breach of any of Talent’s representations, warranties, or agreements hereunder and/or Talent’s negligence or misconduct. DoorDash shall defend, indemnify, and hold harmless Talent from and against any and all Losses in connection with third-party claims arising from or relating to any actual or claimed breach of any of DoorDash’s representations, warranties, or agreements hereunder, and/or DoorDash’s negligence or misconduct. The foregoing indemnification obligations shall survive any termination or expiration of this Agreement.
Termination.
Definitions. For purposes of this Section 2.g:
“Default” shall mean if Talent neglects, fails, refuses, or is unable to perform the Services required hereunder or observe the obligations as agreed hereunder (including, without limitation, as required in the DoorDash Content Guidelines or the Social Media Content Guidelines), or it is alleged that Talent has breached any of their representations or warranties.
“Incapacitation” shall mean Talent dies or suffers a disability that prevents Talent from fully rendering Talent’s Services hereunder.
“Force Majeure Event” shall mean a natural catastrophe, pandemic or epidemic, labor dispute or strike, act of God or public enemy, war, municipal ordinance, state or federal law, governmental order or regulation, or any other similar cause beyond the control of a party.
Termination for Convenience. Each party shall have the right to terminate this Agreement for convenience upon one (1) day’s written notice to the other party. If either party terminates for convenience, Talent shall be entitled to a pro rata portion of the Fee based on the portion of the Services actually performed by Talent prior to termination, and if Talent previously was paid more than such pro rata portion, Talent will promptly refund to DoorDash an amount equal to the difference between the Fee and such rata portion.
Termination for Other Reasons. In the event of (A) a Default that Talent fails to cure within twenty-four (24) hours of notice by DoorDash, (B) Incapacitation, (C) a Force Majeure Event, or (D) a Morals Violation, in addition to any other rights and remedies that DoorDash may have hereunder or at law or in equity, DoorDash shall have the right to immediately terminate this Agreement and Talent shall not be entitled to the Fee or any other payment earned or accruing after such termination. Furthermore, in the event of a Default by Talent that results in termination of this Agreement, Talent may be prohibited from entering into any other agreement with DoorDash in the future and/or participating in the Program or any other DoorDash program.
It is hereby acknowledged and agreed that a termination pursuant to Section 2.g shall not affect DoorDash’s rights in and to the previously produced DoorDash-Produced Materials. Any decisions on matters arising under this Section 2.g shall be at the absolute, sole discretion of DoorDash and shall be final.
No Obligation. DoorDash is not obligated to exercise any of the rights granted hereunder, and DoorDash’s only obligation to Talent is to pay the amounts required to be paid hereunder.
Confidentiality. Talent shall not use in any manner (other than as required in connection with the Services), nor shall Talent disclose to any third party (including, without limitation, via social media, etc.), any trade secrets or confidential information of DoorDash, including, without limitation, any non-public information about DoorDash’s services, the content of any advertising that DoorDash has not yet released to the general public, Talent’s relationship with DoorDash (until publicly disclosed by DoorDash), and any of the terms of this Agreement. In addition, Talent shall not communicate to the press directly about the Services or Campaign without DoorDash’s prior written approval and will direct all press inquiries regarding the Services to DoorDash.
Modifications. DoorDash reserves the right to modify the terms and conditions of this Agreement at any time, effective upon posting an updated version of this Agreement here. If we make any material changes to this Agreement, we will notify you by email at the email address that you have provided to us or by another means. Your continued participation in the Program or performance of the Services after any such changes constitutes your agreement to such changes.
11. Miscellaneous. The relationship between the parties is solely that of independent contractors, and Talent shall not be considered an agent or employee of DoorDash. This Agreement contains the entire understanding between DoorDash and Talent with respect to the subject matter hereof and may not be altered or waived except by a writing signed by both Talent and DoorDash. Delivery of an executed signature page by any electronic means (e.g., PDF) shall be as effective as delivery of a manually executed signature page. Should any portion of this Agreement be rendered void or unenforceable by any court of competent jurisdiction, the remaining provisions shall nevertheless be binding upon the parties. This Agreement shall be governed by the laws of the State of Delaware, applicable to contracts executed and to be fully performed therein. Any action to enforce this Agreement shall be brought exclusively in the state or federal courts located or having jurisdiction in Delaware, and Talent irrevocably submits to the jurisdiction of such courts and agrees to waive any objection that such courts are an inconvenient forum for the resolution of such action. The provisions of this Agreement that by their nature survive the expiration or earlier termination of this Agreement (e.g., confidentiality, post-term/internal use, non-disparagement, miscellaneous) shall survive.You acknowledge that we may send you emails relating to the Program, this Agreement, the Services, or the Talent Deliverables.
3. SOCIAL MEDIA CONTENT GUIDELINES
This Section 3 only applies when you post any content mentioning DoorDash or its products or services off-platform (whether or not such content is specifically connected to the Campaign).
Affiliation with DoorDash must be conspicuously and clearly disclosed.
Use platform-specific transparency tools (e.g., the “Branded Content” tools on Facebook and Instagram) in addition to (not as a substitute for) one of the following disclosures (Talent must also comply with all applicable platform-specific rules and guidelines):
#DoorDash_Ambassador (when DoorDash hasn’t commissioned specific content)
#ad (will also need clear statement from video/audio/caption that DoorDash is the sponsor of the post)
“Sponsored by DoorDash”
The following language as the opening (i.e. first) text of the post copy itself:
“So [excited/happy/thrilled] to officially partner with DoorDash as brand ambassador”
“I have partnered with DoorDash to promote its products”
Note: If your mention of DoorDash is made audibly (for example, spoken in a video), the disclosure should be audible as well (e.g. speak the line: “So excited to officially partner with DoorDash…” or “as a DoorDash partner…”) in addition to text/written disclosure.
Disclosure must be unavoidable (i.e. visible and prominently displayed)
If using a hashtag disclosure: Disclosure must be the first hashtag (i.e. NOT be buried in the middle of other text or hashtags)
For any disclosure format (hashtag or post copy):
In-feed posts (e.g. Twitter, Facebook and IG grid posts): The disclosure must appear in first two lines of text
Should not be buried in the middle or at the end of a series of hashtags, other disclosures or general copy
Recommendation for hashtag disclosures: include as the first hashtag before copy/caption)
If your mention of DoorDash is made audibly (for example, spoken in a video), the disclosure should be audible as well (e.g. speak the line: “So excited to officially partner with DoorDash…” or “as a DoorDash partner…”) in addition to text/written disclosure.
Frame formats (e.g., IG stories, Snaps, TikToks):
Must have text/written disclosure (audio disclosure is not sufficient)
If your mention of DoorDash is made audibly (for example, spoken in a video), the disclosure should be audible as well (e.g. speak the line: “So excited to officially partner with DoorDash…” or “as a DoorDash partner…”) in addition to text/written disclosure.
Disclosures must be large enough to read
Disclosures must be easy to read or hear (as applicable). Consider the following:
Contrast between text and rest of the frame (for written disclosures)
How much time followers have to look at the frame (for written disclosures)
How much competing text in the frame, etc. (for written disclosures)
Speed, volume, and cadence (for audible disclosures)
How close in time the disclosure is to the mention of DoorDash or its brand/product/service (for audible disclosures)
Competing background music and other sounds (for audible disclosures)
Written disclosures must be superimposed as text over images or video in each frame
Videos (in-feed or frame):
Disclosures must appear at the beginning of the video (within the video) as well as in the written video description (i.e. it’s NOT sufficient to make a disclosure only on the end card)
Disclosures should appear long enough for a viewer to be able to read and understand it
Disclosure must migrate (i.e. if Talent is posting on one social media platform and the post is syndicated to another social media platform, disclosures must travel with the post, and appear clearly and conspicuously (e.g. pre-click) on on all platforms)
Livestream: Repeat disclosures throughout the stream to make sure that viewers joining at different times will hear them.
General Do’s and Don’ts
DO:
Talent’s statements should always reflect Talent’s honest and truthful opinions and actual personal experiences and be typical of what the average consumer can expect to achieve.
Make sure any claims about DoorDash products and/or services are substantiated (i.e. there is adequate proof to back up the claim)
Talent should not comment on DoorDash competitors or their products and/or services, unless otherwise instructed by DoorDash to do so. If Talent comments on DoorDash competitors or their products and/or services (per DoorDash instructions), such comment cannot be understood to be malicious, misleading or deceptive, unfair, or unsubstantiated.
Comply with the provisions of any applicable DoorDash policy and DoorDash instructions provided to Talent.
DO NOT:
Make deceptive or misleading claims about DoorDash products or services to consumers.
Misrepresent the source of anything in their posted content, including impersonation of another individual or entity (other than that portrayed by Talent’s professional persona).
Engage in defamation, libel, or slander.
Use any content that is protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless Talent owns or controls all rights thereto or has received all necessary consents. For example, Talent may not post photos or video content without written permission from (1) the person who owns the photo or video and (2) any persons (other than Talent) depicted in the photo or video. Music must be royalty-free unless licenses/permissions have been secured.
Offer for sale, or solicit, products or services on behalf of DoorDash without DoorDash’s prior written approval.
Incite, advocate, or express hatred, ethnic slurs, bigotry, racism, or gratuitous violence.
Use personal insults, pornography, vulgarity, profanity, obscenity, or other offensive language or content, nor depict nudity or sexually explicit content of any sort.
Engage in any communication or disseminate content that is unlawful, harassing, or abusive.
Promote excessive consumption of alcohol beverages, irresponsible consumption of alcohol beverages such as drunk driving or drinking under legal purchase age, or promote any illegal drug use.
Provide or create links to external sites that violate any of the guidelines contained in this document.
Use content that contains advertising for Talent or third parties (including, without limitation, money making schemes, discount cards, credit counseling, online surveys, or online contests).
Engage in dangerous or unsafe activity or depict DoorDash or any of its affiliates, subsidiaries or merchant partners or any of their respective products in a manner that is inconsistent with DoorDash instructions.
