Merchant Media Addendum

Merchant Media Addendum Effective Date: August 15, 2025

This Merchant Media Addendum (“Media Addendum”) is incorporated into the Agreement. All capitalized terms used and not defined herein shall have the meanings ascribed to them in the Sign-Up Sheet, Merchant Services Agreement, the Terms of Service or any other services agreement as between the parties.

1. PREAMBLE. DoorDash owns and operates the DoorDash Platform that connects Merchants, Dashers and Customers for the pickup and/or delivery of Merchant Products. Merchant desires to participate in a program (the “Merchant Media Program” or the “Program”) that provides content, including from their Social Media accounts to DoorDash for use on the DoorDash Platform.

2. DEFINITIONS.

2.1 “DoorDash Platform” for purposes of this Media Addendum means, individually or collectively, (a) any online web or mobile application offered by DoorDash and/or its Affiliates and/or delivery, and (b) the Merchant Portal, in each case, that will allow information to be exchanged between Merchant and DoorDash. References to the “DoorDash Platform” include the DoorDash Platform Documentation. The DoorDash Platform is a “DoorDash Product” as defined in the Terms of Service.

2.2 “Merchant Media” means content provided by Merchant to DoorDash and content published or otherwise accessible on Merchant’s Social Media Accounts, including any designs, images, audio, or videos.

2.3 “Merchant’s Social Media Accounts” means the accounts held by Merchant on third-party social media platforms that are identified in conjunction with Merchant’s participation in the Program.

3. PARTICIPATION IN THE PROGRAM. By opting into or otherwise participating in the Program, you are agreeing to these Merchant Media Terms and direct DoorDash to obtain and publish certain Merchant Media on the DoorDash Platform. You acknowledge that by participating in the Program, you may be able to provide Merchant Media directly to DoorDash, and are also instructing DoorDash to access, retrieve, copy, and store Merchant Media on your behalf whether through an application programming interface or otherwise. All terms of this Addendum, including licenses, representations, and warranties apply to all Merchant Media regardless of whether you provide it to DoorDash directly or DoorDash retrieves it on your behalf. If you do not understand or agree to these Merchant Media Terms, you shall not participate in the Program.

4. LICENSE. Merchant grants to DoorDash a royalty-free, non-exclusive, limited, revocable, and non-transferable right and license to use and display the Merchant Media in the provision of services to Merchant, including, where applicable, publishing Merchant Media on the DoorDash Platform, listing Merchant as a merchant on the DoorDash Platform, referencing Merchant as a DoorDash partner, promoting DoorDash’s or Merchant’s products and services, and sharing Merchant Media with third parties, including third party services which enable DoorDash Customers to access DoorDash Products (including its web pages) for Orders.

5. REPRESENTATIONS AND WARRANTIES. Merchant represents and warrants that (a) it owns Merchant’s Social Media Accounts and (b) it either owns all rights in and to all Merchant Media, or otherwise has, and will continue to have, the necessary licenses in and to such Merchant Media to grant the license to DoorDash and (c) the Merchant Media does not breach any third party rights. Any breach of such representations and warranties shall be treated as a breach of Section 7 of the Merchant Terms of Service. If Merchant identifies any Merchant Media that is not subject to the representation in (b) above, it is Merchant’s sole responsibility to promptly identify such Merchant Media for DoorDash by completing the form here or emailing merchant-video-project@doordash.com.

6. TERMINATION. This Media Addendum may be terminated pursuant to the terms of the Agreement. DoorDash reserves the immediate right, at its sole discretion, to suspend, discontinue, or terminate, in whole or in part, the Program.

7. MISCELLANEOUS. In the event of any conflict between this Media Addendum and the Agreement, this Media Addendum shall govern as it pertains to the Program and the obligations described herein. Except as specifically set forth herein, there are no other modifications to the Agreement.
