DOORDASH PRODUCT ADDENDUM - FLEXIBLE FULFILLMENT

Flexible Fulfillment Addendum Effective Date: 11 September 2025
This DoorDash Flexible Fulfillment Product Addendum (this “Flexible Fulfillment Addendum”) is incorporated into the Agreement. All capitalized terms used and not defined herein shall have the meanings ascribed to them in the Sign-Up Sheet, in this Flexible Fulfillment Addendum, or in the Terms of Service between the Parties.
1. PREAMBLE. DoorDash (i) owns and operates the DoorDash Platform that connects merchants and Customers for Customers to place Orders for delivery fulfillment by Merchant (“Self-Delivery”), and (ii) provides certain website drafting, coding, integration, and implementation services and products related to DoorDash’s provision of an online ordering platform for merchants (“Online Ordering”). The “Merchant” listed above uses or will use DoorDash’s Self-Delivery and/or Online Ordering products. In connection with Self-Delivery and/or Online Ordering, Merchant desires to have the option to use DoorDash’s delivery facilitations services for Order delivery by Dashers for Orders originally placed for delivery by Merchant (“Flexible Fulfillment”).
2. FLEXIBLE FULFILLMENT.
2.1. Flexible Fulfillment. Flexible Fulfillment allows Merchant to designate Orders placed through DoorDash’s Self-Delivery and/or Online Ordering products that are intended to be delivered by Merchant or Merchant personnel to instead be re-routed for delivery fulfillment through DoorDash for delivery by Dashers.
2.2. Eligibility. Merchant shall have the option to use DoorDash’s Flexible Fulfillment product (i) for Self-Delivery of Orders placed through the DoorDash Platform, and (ii) for Online Ordering Orders (A) if Merchant uses Self-Delivery for Orders placed through the DoorDash Platform, or (B) if Merchant does not receive Orders through the DoorDash Platform. Notwithstanding the foregoing, DoorDash may later make available functionality that allows Merchant to toggle between self-delivery or Dasher delivery for Online Ordering Orders even if Merchant uses Dasher delivery for Orders placed on the DoorDash Platform.
2.3. DoorDash Responsibilities. If Merchant uses Flexible Fulfillment for any Order, DoorDash will: (a) receive Order requests for Flexible Fulfillment from Merchant; (b) forward requests to Dashers, so that Dashers can pick up Merchant Product(s) from the designated Merchant Location to deliver to Customers; (c) if applicable, provide any Merchant Customer tips to Dashers; and (d) update Merchant on the status of Orders.
2.4. Merchant Responsibilities. If Merchant uses Flexible Fulfillment, Merchant will: (a) as applicable, provide information required for DoorDash to fulfil its obligations under this Flexible Fulfillment Addendum (including the Merchant Customer’s address, contact information, and any special instructions required for delivery); (b) if Flexible Fulfillment is used for Online Ordering Orders, make all necessary notifications to Merchant Customers and collect any necessary consents required under applicable legislation which relates to the privacy or protection or processing of Personal Information from Merchant Customers to share their Personal Information (such as their telephone numbers and other personal contact information) with third party service providers such as DoorDash (if a reference to third party service providers complies with Applicable Law; if not, a specific reference to DoorDash) and for DoorDash to use such Merchant Customer Personal Information to fulfil its obligations under this Flexible Fulfillment Addendum; and (c) use commercially reasonable efforts to ensure the Merchant Products are available for pick up at the quoted time. If DoorDash provides status updates or delivery confirmations for Orders via text message or email confirmations, Merchant hereby consents to receiving text messages and email confirmations from DoorDash in connection with each Order.
2.5. Refunds. The Fee for a Flexible Fulfillment Order cancelled after a Dasher has been dispatched is non-refundable. Merchant shall be responsible for Customer complaints and/or refunds in accordance with the terms of Merchant’s Self-Delivery and/or Online Ordering agreement with DoorDash, as applicable.
3. FEES. DoorDash shall receive a Flexible Fulfillment Fee in exchange for providing the Flexible Fulfillment services. The Flexible Fulfillment Fee for Flexible Fulfillment Orders is set forth on the cover page of this Flexible Fulfillment Addendum or on the Rate Card, as applicable. The Flexible Fulfillment Fee will be in addition to, as applicable, the Self-Delivery Commission or the Online Ordering payment processing fees charged to Merchant. Merchant acknowledges that DoorDash is continuously analyzing the performance and evolution of the Flexible Fulfillment services and may find it necessary to adjust certain economic terms of the program from time to time to account for product changes. Accordingly, Merchant agrees that DoorDash may update the Flexible Fulfillment Fee and/or the pricing structure of Flexible Fulfillment by providing Merchant with reasonable advance notice and the opportunity to opt out of Flexible Fulfillment prior to the effective date of such updates. DoorDash will remit to Merchant the amounts related to Flexible Fulfillment Orders fulfilled by Merchant each week following the week in which the Flexible Fulfillment Orders were fulfilled on a consistent day of the week. The exact day of the week is subject to change with no less than the (10) days’ notice to Merchant by email or service notification. Such amounts remitted will include (1) the pre-tax total of all Orders for the prior week, plus (2) the Collected Taxes (as defined below) pursuant to Section 4 of this Flexible Fulfillment Addendum, unless the Parties agree to an alternative arrangement in writing, less (3) the aggregate Fees, including the Flexible Fulfillment Fee, agreed amounts for marketing and promotional deals (if any), any error fees associated with Merchant’s incorrect preparation of Orders, and applicable taxes on such amounts for such week. In the event of a change pertaining to independent contractors or the delivery of certain goods (or enforcement thereof) that increases costs for DoorDash’s business, DoorDash may, with 15 days’ written notice, pass through fees to Merchant generated directly as a result of such change in law in the affected jurisdiction(s) on Flexible Fulfillment Orders; provided that Merchant may terminate this Flexible Fulfillment Addendum in part with respect to the affected jurisdiction by providing DoorDash with 15 days’ written notice from the date of DoorDash’s notice. Additionally, the Parties acknowledge and agree that DoorDash will be passing through $2 per Flexible Fulfillment Order to Merchant with respect to Merchant’s stores in California, and Merchant agrees that this satisfies DoorDash’s notice requirement set forth herein.
4. TAXES.
4.1. Collected Taxes. DoorDash will charge and collect from Customers all applicable Sales Tax on (i) the sale of Merchant Products that are facilitated through the DoorDash Products and (ii) any fees or charges imposed by Merchant on Customers in connection with such sales (together, the “Collected Taxes”). Where DoorDash is required under applicable law to remit Collected Taxes to a tax authority as a marketplace facilitator (or similar construct), taking into account any elections DoorDash may have made under applicable law (“Marketplace Facilitator Jurisdictions”), DoorDash will remit such Collected Taxes directly to the appropriate tax authority. For purposes of this Agreement, the jurisdictions that qualify as Marketplace Facilitator Jurisdictions are only those listed on DoorDash’s website or any successor site and may be updated from time to time. Any Collected Taxes that DoorDash does not remit to a tax authority will be passed ultimately to Merchant, and Merchant is solely responsible for remitting such taxes to the appropriate tax authority on its own behalf or on DoorDash’s behalf, as the case may be.
4.2. Taxes on Customer Fees. DoorDash will charge and collect from Customers all applicable Sales Tax on Customer-facing fees charged and retained by DoorDash, including, but not limited, to delivery fees, service fees, surcharge fees, and small order fees. DoorDash will remit such taxes directly to the appropriate tax authority.
4.3. Tax Rates. Merchant is responsible for using commercially reasonable efforts to provide DoorDash with all information necessary for DoorDash to determine and collect the correct amount of Collected Taxes from Customers. For clarity, Merchant’s obligation to provide information under the preceding sentence does not obligate Merchant to provide tax rates. Merchant may, but is not required to, provide DoorDash with the applicable tax rates (including a ‘0’ tax rate for Merchant Products that are not subject to tax, such as Merchant Products that are exempt or zero-rated under applicable law) for any Collected Taxes that Merchant is responsible for remitting to a tax authority. If Merchant does not provide such tax rates, Merchant expressly authorizes DoorDash to determine and apply the tax rates on Merchant's behalf. If Merchant later provides tax rates for any such Collected Taxes after DoorDash has already applied tax rates on Merchant’s behalf, DoorDash will endeavor to implement Merchant’s tax rates as soon as reasonably practicable after receiving the tax rates from Merchant. Changes to the tax rates applicable to Collected Taxes resulting from the use of tax rates provided by Merchant, if any, will be prospective only, and will not be retroactive. DoorDash is not responsible for any liability or loss attributable to the tax rates determined by DoorDash in jurisdictions that are not Marketplace Facilitator Jurisdictions. Merchant acknowledges that Merchant remains solely responsible for the remittance of Collected Taxes in jurisdictions that are not Marketplace Facilitator Jurisdictions, even if such Collected Taxes are calculated by DoorDash. DoorDash’s determination of tax rates in no way constitutes the provision of legal advice or tax advice by DoorDash.
